Dinner Session: ESG and the intersection of Activism

Speaker: Hannah Orowitz, Georgeson

Hannah Orowitz is a managing director on Georgeson’s corporate governance advisory team.  As a former in-house counsel, Hannah understands the complexities presented by investors’ ever-increasing focus on environmental, social and governance (ESG) matters and helps clients as to how to best communicate to investors in an evolving intersection of shareholder engagement and ESG. She is regularly featured in industry media coverage. 

Prior to joining Georgeson, Hannah was Vice President, Associate General Counsel and Assistant Secretary for XL Group Ltd, responsible for securities and corporate governance matters, including the development and execution of XL’s shareholder engagement and sustainability strategies, all aspects of XL’s shareholder meetings and governance matters related to XL’s acquisition of Catlin Group Limited and later its merger with and into AXA SA.  Hannah began her career as an Associate with Sutherland, Asbill & Brennan (now Eversheds Sutherland), where she counseled clients on public and private securities offerings and corporate governance matters. 

Hannah received her J.D., Cum Laude, from American University Washington College of Law and her B.A. from Hamilton College. She is a member of the Society for Corporate Governance and of its Sustainability Practices Committee.

Ching Lun
Ching has more than 20 years of corporate tax experience in both private industry and public accounting. Ching has experience in areas of accounting for income tax, international and transfer pricing considerations, Sarbanes-Oxley, IRS controversy, and U.S. federal and state compliance and tax planning for cross-border transactions. She serves clients in the energy related sectors, technology, and manufacturing and distribution industries. Ching is part of BDO’s national ASC 740 practice team and is the ASC 740 practice leader for the Southwest region. Prior to joining BDO, she held various positions in oil and gas related multinational companies with operations in over 20 countries. In those roles, Ching was responsible for all tax aspects of the global business operations including contract negotiation as well as the U.S. domestic tax compliance, overall tax planning and transfer pricing.
Jerry Seade
Jerry has over 25 years of international tax experience serving publicly and privately held clients. Prior to joining BDO, Jerry was a partner in public accounting and a director of tax at a multi-national corporation. He specializes in advising clients on cross-border matters relating to mergers and acquisitions, joint ventures, offshore structures for intangibles, financing and services companies and outbound and inbound investments. He also has lead engagement teams on due diligence projects, outsourcing of U.S. international tax reporting services for several multinational clients as well as assisted clients with transfer pricing and tax accounting (ASC 740) matters. His industry experience includes working with clients in the energy, manufacturing, shipping and service industries. Jerry is fluent in Spanish and is one of our leaders in our Latin America desk.
JP Weiss
JP has more than 23 years of tax experience in both public accounting and industry. JP has broad experience in ASC 740, domestic federal and state and foreign tax compliance and planning, large consolidated corporate groups and partnerships and joint ventures, acquisitions and dispositions and internal reorganizations. Prior to joining BDO, JP was the Vice President of Tax and Treasurer for AptimCorp, a multinational engineering and construction company based in The Woodlands, TX where he was responsible for all areas of the tax and treasury functions. Prior to that he was the Vice President of Tax and Treasury for Comfort Systems USA, Inc., a publicly-held HVAC construction and services company where he was responsible for taxes, corporate liquidity and investments. Earlier in his career, JP worked in the tax function at Arthur Andersen and EY.
Laura Holmes
Laura leads the Southwest Region’s income and franchise tax practice. She has over 24 years of experience in state income, franchise and gross receipt taxes. Her primary focus is assisting clients with Texas franchise tax planning, audit controversy and refund claims in addition to planning and restructuring of multi-state businesses, audit controversy and appeal, nexus studies, voluntary disclosure agreements, multistate income tax compliance, and due diligence. Prior to joining BDO, Laura worked in the multistate practice for almost 14 years at Deloitte as well as over 4 years in industry focusing on state an local taxation at a large chemical company with over 15 entities doing business in over 30 states.

Prospective Member Form
Prospective Members must be submitted via the form link. All forms must be submitted for approval by the membership committee by 5:00 pm on the Wednesday before the meeting. Once approved, FEI will register prospects and inform the member or sponsor contact that the prospect has been approved to attend. This is applicable to anyone bringing a prospective member.

CPE Credit is offered for the PD Session and the Dinner Presentation.  One (1) hour of CPE is offered for each program.  There is not pre-requisite preparation or experience required.
